GRINDKIT LLC ("we," "us," or "our") operates the GrindKit mobile application (the "App"). By downloading, installing, or using the App, you ("you" or "User") agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, do not use the App.

1. Description of Service

GrindKit is a business management tool designed for mobile coffee vendors and mobile food service operators. The App provides event discovery, pipeline management, AI-powered pricing tools, quote generation, live location broadcasting, business analytics, and an AI mentor chatbot. The App is intended for use by business operators aged 18 or older.

2. Account Registration

You must create an account to use the App. You agree to provide accurate, current information during registration and to update it as needed. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately if you suspect unauthorized access.

3. Subscriptions and Billing

3.1 Free and Pro Tiers

The App offers a free tier with limited functionality and a paid "Pro" subscription with additional features. Feature availability for each tier is described within the App.

3.2 Payment Processing

Subscriptions are processed through Apple's App Store. All billing, renewals, and cancellations are governed by Apple's terms and policies. We do not directly process payment information.

3.3 Refunds

Refund requests must be directed to Apple through their standard refund process. We do not issue refunds directly.

3.4 Price Changes

We reserve the right to change subscription pricing. Existing subscribers will be notified of price changes before their next renewal period.

4. AI-Powered Features

4.1 General Disclaimer

The App uses artificial intelligence (powered by Anthropic's Claude) for several features including the Kit AI mentor chatbot, event pricing suggestions, quote generation, and event discovery scoring. AI-generated content is provided for informational and planning purposes only.

4.2 Pricing and Quotes

AI-generated pricing suggestions and quotes are estimates based on the information you provide and general market data. They are not guarantees of appropriate pricing, market rates, or profitability. You are solely responsible for reviewing, adjusting, and finalizing any pricing or quotes before sharing them with clients or event organizers. We are not liable for any financial outcomes resulting from the use of AI-generated pricing.

4.3 Business Advice

Kit provides general business guidance for mobile vending operations. This guidance does not constitute professional financial, legal, tax, or regulatory advice. Consult qualified professionals for decisions involving legal compliance, taxation, licensing, or significant financial commitments.

4.4 Event Discovery

AI-powered event discovery surfaces publicly available events and scores them for vendor relevance. We do not guarantee the accuracy, completeness, or timeliness of event listings. Event details such as dates, locations, fees, and application deadlines are sourced from public data and may be outdated or incorrect. Always verify event details directly with organizers before committing resources.

5. Square POS Integration

5.1 Authorization

You may optionally connect your Square POS account to the App via OAuth. By authorizing this connection, you grant the App read-only access to your Square sales and payment data for the purpose of business analytics and revenue tracking within the App.

5.2 Data Usage

The App reads your Square sales data to display revenue summaries and link sales to pipeline events. The App does not process payments, modify your Square account, access customer payment methods, or write any data to your Square account.

5.3 Disconnection

You may disconnect your Square integration at any time through the App's Account settings. Upon disconnection, the App will no longer access your Square data. Previously synced summary data may remain in your account until you delete your account.

6. Live Location Broadcasting

6.1 GPS Data

The Live Location feature transmits your device's GPS coordinates to our servers for the purpose of displaying your position on a public-facing map embed. Broadcasting is initiated and stopped by you. Your location is only transmitted while broadcasting is active.

6.2 Public Visibility

When broadcasting, your location, business name, event name, and event location are publicly accessible via your embed widget. Anyone with access to your embed URL can view this information. Your upcoming event schedule (event name, date, time, and city only) may also be displayed on your embed widget based on your settings.

6.3 Expiration

Broadcasts automatically expire after the duration you select (up to 12 hours). No location data is transmitted after expiration.

6.4 Responsibility

You are solely responsible for deciding when and where to broadcast your location. We recommend not broadcasting from private residences or locations where public visibility of your position could create safety concerns.

7. Inbound Lead Capture

7.1 Embed Form

The App provides an embeddable form that you can place on your website to receive booking inquiries. When a potential client submits this form, their information (name, email, phone, event details) is stored in your account.

7.2 Your Responsibility

You are responsible for how you use and respond to contact information received through the lead capture form. You agree to comply with all applicable laws regarding communication with leads, including anti-spam regulations.

7.3 Lead Data

Lead information is stored in your account and is not shared with other users or third parties. If you delete your account, lead data associated with your account will be deleted.

8. User Data and Storage

8.1 Account Data

Your account information, business profile, pipeline events, and related data are stored on Supabase (our backend infrastructure provider) and secured with encryption in transit and at rest.

8.2 Local Storage

Some data is stored locally on your device, including AI chat conversation history and business log entries. This data is not backed up to our servers and will be lost if you uninstall the App or clear its data.

8.3 Data Accuracy

You are responsible for the accuracy of information you enter into the App, including business details, event information, and financial data.

9. Acceptable Use

You agree not to:

  • Use the App for any unlawful purpose
  • Attempt to gain unauthorized access to the App's systems or other users' accounts
  • Interfere with or disrupt the App's infrastructure
  • Reverse engineer, decompile, or disassemble any part of the App
  • Use the App to transmit harmful, offensive, or misleading content
  • Create multiple accounts to circumvent free tier limitations
  • Resell or redistribute access to the App or its features
  • Use automated scripts or bots to interact with the App

10. Intellectual Property

The App, including its design, code, AI models, content, and branding, is owned by us and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the App for your personal business purposes. Content you create within the App (quotes, notes, pipeline data) remains yours.

11. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

AI-generated content, including pricing, quotes, business advice, and event discovery results, may contain errors or inaccuracies. You acknowledge that AI outputs should be reviewed and verified before reliance or use in business decisions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE APP.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold us harmless from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the App, your violation of these Terms, or your violation of any applicable law or regulation.

14. Termination

We may suspend or terminate your account at our discretion if you violate these Terms. You may delete your account at any time through the App's Account settings. Upon termination, your right to use the App ceases immediately. Provisions that by their nature should survive termination (including Disclaimers, Limitation of Liability, and Indemnification) will survive.

15. Modifications

We may update these Terms at any time. Material changes will be communicated through the App or via email. Your continued use of the App after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of the State of Ohio, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Summit County, Ohio.
